Refer a Friend Program Terms & Conditions

This Besque Refer a Friend Agreement (this "Agreement") is a legally binding agreement between HBL Ventures LLC, a Delaware limited liability company with a registered address at 8 The Green, Suite B, Dover, Delaware 19901, USA ("Company," "Besque," "we," or "us"), and the individual customer to whom Company issues a Referral Code in connection with the Besque Refer a Friend Program (the "Program") ("Referrer," "you," or "your"). Company and Referrer are each a "party" and together the "parties."
A Referral Code is issued automatically once you place a qualifying order with Besque; no Besque account or sign-up is required to refer a friend. It can also be accessed via Besque's dedicated referral page. If you hold an active subscription, any credit applied under the Program will be viewable in the subscription section of your Besque account portal. By placing a qualifying order, or generating, sharing, or using a Referral Code, you acknowledge that you have had the opportunity to review this Agreement in full, and you agree to be bound by it. Company reserves the right to change or end the Program at any time in accordance with Section 9.
PLEASE READ THIS AGREEMENT CAREFULLY. IT INCLUDES A MANDATORY INFORMAL DISPUTE RESOLUTION PROCESS (SECTION 13) AND IS SUBJECT TO THE DISPUTE RESOLUTION TERMS OF BESQUE'S GENERAL TERMS OF SERVICE, WHICH AFFECT YOUR LEGAL RIGHTS.
1. ELIGIBILITY AND PARTICIPATION
1.1 Eligibility. To participate in the Program, you must (a) be at least 18 years of age (or the age of majority in your jurisdiction, if higher); (b) have placed a qualifying order with Besque; (c) not be located in a jurisdiction subject to comprehensive U.S. sanctions or export control restrictions, or where participation would otherwise be unlawful; and (d) not be a current employee, officer, director, or contractor of Company. The Program is not restricted to customers located in the United States. Referrer is not required to create or hold a Besque account to refer a friend; a Besque account is only relevant for viewing subscription credit as described in Section 4.3.
1.2 Order and Contact Information. Company identifies Referrer and issues Rewards using the order and contact information provided by Referrer when placing an order or referring a friend. Referrer is responsible for ensuring that information is accurate and current. Company may withhold or revoke a Reward if the underlying order or contact information is false, misleading, or incomplete.
1.3 One Identity. Referrer may participate under only one email address and Referral Code for purposes of this Program. Referral activity associated with multiple email addresses, order records, or Besque accounts controlled by the same individual will be treated as originating from a single Referrer for all purposes under this Agreement, including Section 3.4.
2. REFERRAL PLATFORM AND ATTRIBUTION
2.1 Referral Platform. The Program is administered on Company's behalf through a third-party referral platform designated by Company from time to time (the "Referral Platform"). Company may access and review Referrer and Referred Friend activity through the Referral Platform for the purpose of administering the Program. Company may change the Referral Platform at any time, with or without notice, and doing so will not affect Referrer's entitlement to any Reward already earned under this Agreement. A unique referral code and/or referral link (together, the "Referral Code") is issued automatically once Referrer places a qualifying order; no Besque account or sign-up is required to receive or share a Referral Code. Where Referrer holds an active subscription, credit applied under the Program will be viewable in the subscription section of Referrer's Besque account portal, as described in Section 4.3.
2.2 Attribution. A Referred Friend's order will be attributed to Referrer if the Referred Friend clicks Referrer's Referral Code or enters it at checkout and completes a Qualifying Purchase (defined in Section 3.3), in accordance with the Referral Platform's standard attribution methodology, as recorded by the Referral Platform.
2.3 Platform Records Control. Attribution and Reward eligibility will be determined solely by the records of the Referral Platform and Company's systems, which will be final and binding absent manifest error. Company is not responsible for, and no Reward is payable in respect of, orders that are not properly tracked for any reason, including because the Referred Friend blocked or deleted cookies, the Referral Code was altered, shortened, or otherwise modified, or a technical failure occurred.
2.4 No Ability to Alter the Referral Code. The Referral Code is generated and controlled solely by the Referral Platform. Referrer has no ability to alter, modify, mask, or redirect the Referral Code, and may not cause it to be triggered other than by a genuine, voluntary action of a Referred Friend.
3. REWARDS
3.1 Referrer Reward. Company will issue Referrer a reward ("Referrer Reward") for each Qualifying Purchase, in the amount published to Referrer in writing (including via the Referral Platform, the Besque website, or email), which is incorporated into this Agreement by reference. As of the Effective Date, the published Referrer Reward is $20.00, applied in accordance with Section 4.3.
3.2 Friend Reward. A Referred Friend who completes a Qualifying Purchase using a valid Referral Code will receive a discount off that order ("Friend Reward"), in the amount published to Program participants from time to time. As of the Effective Date, the published Friend Reward is 20% off the Referred Friend's first order, subject to a minimum order value of $50.00. A Referred Friend is only entitled to the Friend Reward amount advertised and in effect at the time their Referral Code is used, regardless of any different amount previously advertised or later introduced.
3.3 Qualifying Purchase. A "Qualifying Purchase" means a completed order placed by a Referred Friend that (a) is attributed to Referrer under Section 2; (b) is placed by a genuine new customer who has not previously placed an order with Company and who is not Referrer, a member of Referrer's household, or a person using the same payment method, shipping address, device, or IP address as Referrer (a "self-referral"); (c) does not arise from any breach of this Agreement, including the prohibited conduct in Section 5; and (d) is placed using only one Referral Code. A Referred Friend may not use more than one Referral Code issued under this Program; where more than one is entered, only the first Referral Code used on that Referred Friend's account will be honored.
3.4 Cap on Rewards. Company will not issue more than 100 Referrer Rewards to a single Referrer over the life of this Program. Company may impose a lower cap on the number or value of Referrer Rewards earned within a specified period, or otherwise limit or withhold a Reward, if it reasonably believes the Program is being abused, as described in Section 5. Company may also modify Reward amounts and structures at any time on notice through the Referral Platform, the Besque website, or email; modified amounts apply to Qualifying Purchases occurring on or after the effective date of the change.
3.5 No Cash Value; Besque Purchases Only. Rewards are issued as subscription credit, a coupon code, or an order discount, as applicable, are not redeemable for cash, and have no cash value. Rewards may be redeemed only against purchases made directly through Besque's website or account portal, and may not be applied to purchases made through any other retailer, platform, or third-party seller. Rewards may not be sold, purchased, or used to buy gift cards, and may not be transferred or assigned to another Besque account.
4. REWARD ISSUANCE AND FORFEITURE
4.1 Validation Period. Following a Referred Friend's Qualifying Purchase, Company will hold the associated Referrer Reward for a validation period of seven (7) days (the "Validation Period") to review for self-referral, suspected fraud, and compliance with this Agreement.
4.2 Issuance. Provided the order remains a Qualifying Purchase at the end of the Validation Period, Company will issue the Referrer Reward on the 8th day following the Qualifying Purchase, in accordance with Section 4.3.
4.3 Application of Credit. Referrer does not need to hold an active subscription to participate in the Program or to earn a Reward. If Referrer has an active subscription at the time a Reward is issued, the $20.00 Reward will be applied automatically as credit to Referrer's existing subscription, and will be viewable in the subscription section of Referrer's Besque account portal. If Referrer does not have an active subscription at that time, the Reward will be issued as a $20.00 coupon code, sent to the email address Referrer used when referring, which Referrer may apply to a one-time product purchase or a new subscription order. Where the Referral Platform's functionality allows, Rewards earned from multiple Qualifying Purchases may be combined and applied against a single order or charge. Rewards are not transferable to another Besque account and may not be used to purchase gift cards.
4.4 Expiry. Referrer Rewards issued under this Program expire twelve (12) months after issuance if unused, unless a longer period is required by applicable law.
4.5 Statement Disputes. Referrer must notify Company in writing of any dispute regarding Reward issuance within sixty (60) days after the Reward is made available; otherwise, the Reward is deemed accepted as issued.
5. REFERRAL STANDARDS AND PROHIBITED CONDUCT
5.1 Personal, Non-Commercial Use. The Referral Code is provided for Referrer's personal, non-commercial use to share with genuine friends, family, and personal contacts. Referrer may not use the Referral Code for commercial solicitation, bulk or automated distribution, or any use resembling a business marketing campaign.
5.2 No Public Posting to Aggregators. Referrer may not post, submit, or permit the distribution of the Referral Code on any coupon, voucher, discount-code, deal, or promotional-aggregator website or app, or any similar third-party aggregation service, or on any public forum, subreddit, or deal-sharing community not reasonably limited to Referrer's personal contacts.
5.3 Prohibited Conduct. Referrer must not: (a) engage in self-referral as described in Section 3.3(b); (b) create or use multiple Besque accounts, aliases, or fictitious identities to generate Referrer Rewards; (c) use bots, scripts, or automated means to generate referral clicks, code entries, or orders; (d) purchase advertising on search engines or social platforms using Company's trademarks or confusingly similar terms to promote the Referral Code, without Company's prior written consent; (e) make any false, misleading, unsubstantiated, or deceptive statement about Company or its products, including unsubstantiated health, performance, or pricing claims; (f) represent that they are an employee or agent of Company; or (g) otherwise attempt to circumvent or manipulate the Program or the Referral Platform.
5.4 Consequences. In addition to any other remedy, Company may decline to issue any pending Reward arising from conduct that violates this Section 5, and may deactivate Referrer's Referral Code, suspend Referrer's participation, or permanently bar Referrer from the Program under Section 8.
6. PRIVACY AND INFORMATION SHARING
6.1 Sharing with Referrer. If a Referred Friend redeems Referrer's Referral Code, Company will share the Referred Friend's first name and last initial (for example, "Andy D") with Referrer, so that Referrer is aware their Referral Code has been used. Company will not share any other information about the Referred Friend or their order with Referrer.
6.2 Sharing with Referred Friend. Company will share Referrer's first name and, where applicable, full last name (for example, "Andy" or "Andy Davies") with a Referred Friend who uses Referrer's Referral Code. Company will not share any other information about Referrer or Referrer's orders with the Referred Friend.
6.3 Further Processing. Any personal data shared under this Section 6 will be processed in accordance with Besque's Privacy Policy. By participating in the Program, Referrer and Referred Friend each consent to this limited sharing of information as a condition of participation.
7. LEGAL AND REGULATORY COMPLIANCE
7.1 Compliance with Laws. Referrer must comply with all laws and regulations applicable to sharing a Referral Code, including applicable consumer protection, anti-spam (including CAN-SPAM), and privacy laws. Referrer is solely responsible for obtaining any consents required to send referral communications to any individual.
7.2 Fair Representation. Referrer must not make any false, misleading, or unsubstantiated statement about Company or its products when sharing a Referral Code, and must not represent that they are an employee or agent of Company.
7.3 Monitoring. Company may monitor use of Referral Codes for compliance with this Agreement, including through automated tools, at any time without notice.
8. TERM, SUSPENSION, AND TERMINATION
8.1 Term. This Agreement begins on the Effective Date and continues until terminated in accordance with this Section 8 (the "Term").
8.2 Termination for Convenience. Either party may stop participating in, or Company may discontinue, the Program at any time, for any reason, on notice (which Company may give by email, through the Referral Platform, or by posting an update to the Besque website).
8.3 Suspension; Immediate Termination by Company. Company may suspend Referrer's participation, Referral Code, and any pending Rewards, or terminate this Agreement with immediate effect on notice, if (a) Referrer breaches this Agreement (including Section 5 or 6); (b) Company reasonably suspects fraud, self-referral, or manipulation of the Program; or (c) Company discontinues the Program in whole or in part.
8.4 Effect of Termination. Upon termination: (a) Referrer's Referral Code will be deactivated; (b) no Reward accrues on any order placed after the effective date of termination; (c) if Company terminates under Section 8.3(a) or (b), any unissued Rewards are forfeited; and (d) in all other cases, Rewards already earned for Qualifying Purchases completed before the termination date remain payable in accordance with Section 4.
8.5 Survival. Sections 3.5, 5.4, 6, 8.4, 8.5, 10, 11, and 12 through 14 survive termination of this Agreement.
9. AMENDMENTS
9.1 Updates. Company may amend this Agreement and Program terms (including Reward amounts and attribution rules) prospectively by posting the updated version and notifying Referrer by email, through the Referral Platform, or by posting to the Besque website, at least fifteen (15) days before the changes take effect, except that changes required by law or addressing fraud or security may take effect immediately on notice.
9.2 Acceptance of Updates. Referrer's continued participation in the Program after the stated effective date of a change constitutes acceptance of the updated Agreement. If Referrer does not agree to a change, Referrer's sole remedy is to stop participating in the Program.
10. REPRESENTATIONS AND WARRANTIES
10.1 Mutual Representations. Each party represents that it has the right and authority to enter into this Agreement. Referrer further represents that its participation in the Program will comply with this Agreement and all applicable laws, and that all information provided in connection with its participation in the Program is accurate and complete.
10.2 Non-Disparagement. Referrer will not make, publish, or communicate any statement that it knows to be false and disparaging about Company or its products in connection with the Program. This Section does not restrict Referrer from making truthful statements, including honest product reviews or feedback, or from providing truthful information required by law or in response to a government inquiry.
11. INDEMNIFICATION
Referrer will defend, indemnify, and hold harmless Company, its affiliates, and their respective officers, directors, members, employees, and agents from and against all claims, demands, losses, liabilities, damages, and reasonable costs and expenses (including reasonable attorneys' fees) arising out of or relating to (a) Referrer's use of the Referral Code in breach of this Agreement; or (b) Referrer's breach of this Agreement or violation of applicable law.
12. DISCLAIMERS; LIMITATION OF LIABILITY
12.1 Disclaimers. THE PROGRAM, THE REFERRAL PLATFORM, AND THE REFERRAL CODE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
12.2 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.3 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE TOTAL VALUE OF REWARDS ISSUED TO REFERRER IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE EXCLUSIONS AND CAP IN THIS SECTION 12 DO NOT APPLY TO REFERRER'S INDEMNIFICATION OBLIGATIONS OR EITHER PARTY'S FRAUD OR WILLFUL MISCONDUCT.
12.4 Limitation Period. Any claim arising out of or relating to this Agreement must be commenced within one (1) year after the event giving rise to it, regardless of when discovered. Any claim not brought within this period is permanently barred.
13. GOVERNING LAW; DISPUTE RESOLUTION; ARBITRATION
13.1 Governing Law. This Agreement and any dispute arising out of or relating to it are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules.
13.2 Mandatory Informal Dispute Resolution. If Referrer has any dispute, claim, or controversy relating to this Agreement or the Program (a "Dispute"), Referrer must first provide Company with written notice by email to legal@besque.com, describing the Dispute, the relief sought, and the basis for it. The parties agree to negotiate in good faith to resolve any Dispute within sixty (60) days before initiating any formal proceeding.
13.3 Referral to General Terms of Service. Any Dispute that is not resolved informally under Section 13.2 will be resolved in accordance with the dispute resolution, arbitration, class action waiver, and jury trial waiver provisions (if any) set out in Besque's general Terms of Service then in effect, which are incorporated into this Agreement by reference. This Agreement does not impose any separate or additional arbitration requirement, class action waiver, or jury trial waiver beyond what is set out in Besque's general Terms of Service.
14. GENERAL
14.1 Relationship of the Parties. Referrer is a customer participating in the Program, not an employee, agent, contractor, or partner of Company. Referrer has no authority to bind Company or make representations on its behalf.
14.2 Entire Agreement. This Agreement, together with Company's general Terms of Service and Privacy Policy and any Reward terms published in writing (including via the Referral Platform), constitutes the entire agreement between the parties regarding the Program and supersedes all prior or contemporaneous understandings on that subject.
14.3 Assignment. Referrer may not assign this Agreement or any rights or obligations under it without Company's prior written consent. Company may freely assign this Agreement.
14.4 Notices. Company may give notices to Referrer by email to the address associated with Referrer's order or Referral Code, through the Referral Platform, or by posting to the Besque website. Referrer must give notices to Company by email to legal@besque.com.
14.5 Severability; Waiver. If any provision of this Agreement is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force. A party's failure to enforce any provision is not a waiver of its right to do so later; waivers must be in writing.
14.6 Electronic Contracting. By placing a qualifying order, or generating, sharing, or using a Referral Code, Referrer agrees to be bound by this Agreement and consents to receive notices and disclosures electronically, in accordance with the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable state law.
14.7 No Third-Party Beneficiaries; Interpretation. There are no third-party beneficiaries to this Agreement. Headings are for convenience only; "including" means "including without limitation."
